Corporations Amendment (Meetings and Documents) Bill 2021

 

 

(1)     Schedule 2, item 47, page 42 (lines 25 to 28), omit subsection 1687J(2), substitute:

             (2)  The persons who conduct the review must include:

                     (a)  at least one person with experience representing the interests of shareholders; and

                     (b)  at least one person with experience advocating for corporate social responsibility; and

                     (c)  at least one person with experience serving as a director of a company.

(2)     Schedule 2, item 47, page 43 (after line 3), at the end of section 1687J, add:

Timing of review

             (6)  The persons who conduct the review must:

                     (a)  complete the review; and

                     (b)  give the report, or each of the reports, under subsection (3) to the Minister;

no later than 2 years and 6 months after the commencement of Schedule 1 to the Corporations Amendment (Meetings and Documents) Act 2021 .

             (7)  Paragraph 249R(c) does not apply to a meeting held after the end of those 2 years and 6 months unless a report that deals with the amendments made by item 11 of Schedule 2 to the Corporations Amendment (Meetings and Documents) Act 2021 is tabled under subsection (5) of this section in each House of the Parliament on or before the first sitting day of that House after the end of those 2 years and 6 months.

Government response to review

             (8)  If a report under subsection (3) sets out recommendations, the Minister must cause:

                     (a)  a written response of the Commonwealth Government to the recommendations to be prepared; and

                     (b)  the response to be tabled in each House of the Parliament no later than the first sitting day of that House occurring 3 months or more after the day the report is first tabled in either House of the Parliament under subsection (5).
